Dramatic developments in the Israeli shipping market: German shipping giant Hapag-Lloyd and its Israeli partner, the FIMI Opportunity Funds, have submitted an improved and updated proposal outline to the Israeli government for the acquisition of ZIM.
The updated proposal was formulated following a series of meetings and discussions held by the companies since the signing of the merger agreement in February 2026 with the Israeli Shipping and Ports Authority, the Government Companies Authority, and the Ministries of Defense, Transport, Finance, Foreign Affairs, and Agriculture.
The new framework is designed to provide a comprehensive response to concerns raised and to strengthen Israel's maritime independence, national security, and supply chain resilience.
45 Days to Complete the Legal Framework
According to the companies' report, over the next 45 days, Hapag-Lloyd and FIMI will finalize the business plan and the full legal framework of the transaction.
During this period, senior executives from both companies will hold a series of meetings in Israel with government ministries and relevant regulatory bodies to present the details of the improved outline and discuss them.
According to the proposal, "ZIM Israel" will be established as a completely independent shipping company under Israeli ownership and management, featuring a modern fleet of vessels and independent maritime operational capabilities.
Key Improvements in the Transaction Outline
As part of the response to the state's requirements, the companies committed that ZIM Israel will operate vessels on a direct service line to the Far East, alongside planned lines in the Atlantic Ocean and other Mediterranean routes.
Simultaneously, the proposal includes a significant strengthening of the "Golden Share" mechanism, which will increase the state's authority and oversight regarding ownership changes, prevent foreign involvement, and ensure Israel's control and independence over the fleet, particularly during national emergencies.
To ensure Israel's transport needs, qualified ZIM teams responsible for cargo to and from Israel will be transferred to ZIM Israel. Furthermore, the maritime management mechanism of the fleet will remain in Israel and be carried out independently.
The purchasers have committed to significantly increasing the number of Israeli seafarers in the coming years, thereby reversing the erosion of the national maritime workforce.
Another critical aspect concerns increasing shipping capacity, as ZIM Israel will hold a core container fleet and gain access to Hapag-Lloyd's global container fleet through a long-term commercial agreement. This move will increase the capacity available for transporting refrigerated and other essential cargo to Israel. Operationally, ZIM Israel will run a completely independent IT system, without access for third parties, including Hapag-Lloyd itself.
Alongside this, the proposal provides an unprecedented protection package for ZIM employees in Israel, including clear financial incentives and an employment safety net for a period of 10 years for long-term employees.
